Terms of Use

These Terms govern your use of Latent Reasoning. By using the service or purchasing a membership, you agree to these Terms and the Privacy Policy.

Eligibility and accounts

You must be at least 18 years old and legally able to enter this agreement. You are responsible for the accuracy of your account information, the security of your email account and sign-in links, and all activity under your account. Notify us promptly at author@latent-reasoning.com if you believe access has been compromised.

Annual membership and renewal

Membership is sold as an annual subscription at the price displayed immediately before checkout. Stripe displays the total charge before you accept and pay. Unless you cancel before renewal, Stripe will automatically charge the payment method associated with your subscription for the next annual term. Every membership tier receives the same research access; published tier capacity affects the price available to new members, not the scope of access.

Founders Class members retain the Founders Class annual price while their subscription remains continuously active. Cancellation, expiration, an unpaid or failed renewal that ends continuity, or later re-enrollment may end that pricing commitment. We will not move an active member to a later public tier merely because an earlier tier reaches capacity.

Cancellation and no-refund policy

You may cancel future renewal through the Stripe customer portal linked from your account. Cancellation stops future renewal and does not retroactively cancel the current paid term. All payments are final and non-refundable, including for partial years, unused access, or cancellation, except where applicable law requires otherwise. Your account page or Stripe portal will show the subscription status and any remaining access period.

Individual access license

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access the service and use reports for your own internal informational purposes. You may not share credentials; redistribute or sell reports or artifacts; systematically scrape, download, or reconstruct datasets; use protected content for model training; remove disclosures, provenance, or rights notices; bypass access controls; interfere with the service; or use the service unlawfully. Commercial redistribution, team access, and external publication require prior written permission.

Research is not personalized advice

Latent Reasoning publishes general and impersonal research for informational and educational purposes. It does not provide individualized investment, legal, accounting, or tax advice; assess suitability; execute transactions; manage portfolios; or create a fiduciary, advisory, agency, or client relationship. Investing involves risk, including possible loss of principal. You are responsible for your own investigation and decisions and should consult qualified professionals where appropriate.

Research limitations and disclosures

Research may use public or licensed sources, estimates, models, projections, and judgment. It may contain errors or become outdated after its source cutoff or publication date. Past performance, scenarios, targets, and forward-looking statements do not guarantee future results. Report-specific sources, methodology, limitations, position disclosures, and conflict disclosures form part of the relevant report and control over any inconsistent general description.

Ownership and third-party material

The service, original reports, presentation, software, and research modules are owned by Latent Reasoning or its licensors and are protected by applicable intellectual-property laws. Source materials and third-party trademarks remain the property of their respective owners. Access does not transfer ownership. Product demonstrations labeled synthetic are not real quotations or claims and may not be represented as such.

Availability, changes, and termination

We may maintain, modify, suspend, or discontinue features and may restrict access to protect users, providers, research rights, or service integrity. We may suspend or terminate an account for breach, fraud, abuse, chargeback misuse, security risk, or legal requirement. If we permanently discontinue the paid service during an active term for reasons unrelated to your breach, we may provide a proportionate remedy where required by law; this does not alter the otherwise applicable no-refund policy.

Disclaimers

To the maximum extent permitted by law, the service and all research are provided “as is” and “as available,” without warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted access, or investment result. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by law, Latent Reasoning will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, trading losses, or investment losses arising from the service. Our aggregate liability for claims relating to the service will not exceed the greater of $100 or the amount you paid to Latent Reasoning during the twelve months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot legally be limited.

Disputes and general terms

Before filing a formal claim, you agree to contact author@latent-reasoning.com and allow thirty days for an informal resolution, unless urgent relief or applicable law requires otherwise. Applicable law and the courts with lawful jurisdiction govern any unresolved dispute; these Terms do not impose mandatory arbitration or waive non-waivable consumer rights. If a provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign your account or these Terms without consent; we may assign them with the service or business.

Changes and contact

We may update these Terms prospectively. Material changes will be presented through the service or by email when appropriate, and the effective date above identifies the current version. Changes do not retroactively alter an already completed charge. Questions may be sent to author@latent-reasoning.com.
